Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Newsongbird website and related digital products operated by Newsongbird, a sole proprietor (“Newsongbird”, “we”, or “us”). By accessing the website or purchasing a product, you agree to these Terms.
1. Products and pricing
Newsongbird currently offers the following paid digital products:
- Newsongbird Pro: a software-as-a-service subscription priced at $9 per month, including Pro workspace features such as watchlists, alerts, and premium reports as enabled on the service.
- Code Template Pack: a one-time digital download priced at $29, including code templates, configuration files, documentation, and bug-fix updates to that pack.
- AI micro-tools: pay-per-use document and letter tools. The price, AI-assisted nature, and limits are shown before checkout.
- Credit packs: optional prepaid tool credits. Credits have no cash value, are not a bank deposit, and pay-per-use remains available without buying a pack.
Current details and included features are shown on the Pricing page. We may add or remove features, but we will not materially reduce the core paid functionality purchased during a current billing period.
2. Accounts, email verification, and eligibility
The website uses your email address as your account username. You may create an account with a password, verify the email address using an email verification code, sign in, reset your password by email code, and manage the account from the account page. We do not require a phone number or SMS code.
You agree to provide accurate account information, protect your password and session, and not share account access with unrelated users. Notify contact@newsongbird.com promptly if you suspect unauthorized access. We may suspend an account for nonpayment, fraud, abuse, or material breach of these Terms.
Signed-in users may export account-visible data and request permanent deletion from the account page. Some payment, tax, security, and authoritative audit references may be retained or pseudonymized where required by law or necessary to preserve integrity, as described in the Privacy Policy.
3. Payment, renewal, and taxes
Payments are processed by Paddle as Merchant of Record. Paddle handles payment authorization, supported payment methods, receipts, applicable VAT/GST/sales tax, and payment-related compliance. Newsongbird supplies and operates the digital product.
- Newsongbird Pro renews automatically each month until canceled.
- Code Template Pack is a one-time purchase and does not renew.
- An AI micro-tool charge authorizes one bounded run unless the checkout states otherwise.
- Credit packs add prepaid tool credits; unused credits remain available for eligible tool runs and are not redeemable for cash.
- The final amount, currency, and tax shown in Paddle Checkout before payment are the amount you authorize.
Refunds and cancellation are described in the Refund Policy.
4. Software license to you
4.1 Newsongbird Pro license
Subject to payment and compliance with these Terms, Newsongbird grants you a limited, non-exclusive, non-transferable, revocable right to access and use Newsongbird Pro during the active subscription period for your own personal or internal business purposes.
You may not share one subscription across unrelated users or organizations, resell access, operate a competing service using the platform, or use Pro outputs to create a substantially similar SaaS product.
4.2 Code Template Pack license
Subject to payment and compliance with these Terms, Newsongbird grants you a perpetual, worldwide, non-exclusive, non-transferable license to use the Code Template Pack in your own personal or commercial projects. You may modify the code for your own projects and use its output products commercially.
The license does not permit resale, redistribution, public posting, sublicensing, or sharing of the template pack itself, whether unchanged or lightly modified. You may not present the pack as your own product template or include its source files in a template marketplace, course bundle, SaaS starter kit, or similar redistributable product.
5. Ownership
The Services, software, templates, documentation, designs, reports, models, trademarks, and other content are owned by Newsongbird or its licensors. These Terms grant a license only; they do not transfer ownership or source-code rights to you. Third-party open-source components remain subject to their applicable licenses.
6. Acceptable use
You agree not to:
- use the Services for unlawful activity, fraud, harassment, infringement, or harm to others;
- resell, sublicense, redistribute, or commercially exploit the Services or template files except as expressly licensed above;
- circumvent access controls, usage limits, rate limits, licensing restrictions, or payment controls;
- scrape, flood, overload, probe, or interfere with the website, APIs, servers, or security systems;
- reverse engineer, decompile, or attempt to extract protected source code, models, or proprietary logic except where permitted by law;
- introduce malware or malicious code, or submit content that violates another person’s rights;
- use the Services in violation of applicable sanctions, export controls, card-network rules, Paddle policies, or other platform requirements.
7. Content you submit
You keep ownership of content you submit, such as prompts, wish-pool requests, support messages, and watchlist targets. You grant Newsongbird a limited license to store, transmit, analyze, display, and otherwise use that content as reasonably necessary to provide the requested feature and maintain security.
You represent that you have the necessary rights to submit the content and that it does not unlawfully infringe another person’s rights.
8. Reports and informational output
Trends, predictions, scores, reports, code suggestions, and AI-assisted output are informational. They may be incomplete or inaccurate and do not constitute financial, investment, legal, tax, accounting, engineering, or other professional advice. You are responsible for validating output before using it in a production system or significant business decision.
9. Availability and changes
We aim to provide reliable availability but do not promise uninterrupted or error-free service. Maintenance, updates, third-party data changes, security events, force majeure events, and provider failures may affect availability.
We may improve or modify the website and products. For material adverse changes to a paid product, we will provide a fair remedy, cancellation right, or refund as required by applicable law.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, except warranties that cannot be excluded by law. We do not warrant that output will be error-free, uninterrupted, secure, or fit for a particular purpose.
11. Liability limitation
To the maximum extent permitted by law, Newsongbird will not be liable for indirect, incidental, special, consequential, punitive damages, lost profits, revenue, data, or goodwill. Our total aggregate liability arising from the Services is limited to the amount you paid for the applicable Newsongbird product in the twelve months before the claim, or $50 if no payment was made.
These limits do not exclude liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. Mandatory consumer rights are unaffected.
12. Termination
12.1 Termination by you
You may stop using the website at any time. You may cancel Newsongbird Pro at any time before renewal to prevent future charges. Subject to the Refund Policy, cancellation takes effect at the end of the current paid month.
12.2 Termination by Newsongbird
We may suspend or terminate access if we reasonably believe these Terms have been violated, payment has not been completed or has been reversed, your use creates a security or legal risk, or a payment provider or law requires termination. Where practical and not contrary to security or legal obligations, we will give notice and an opportunity to cure a non-security breach.
12.3 Effect of termination
When a Pro subscription ends, Pro access and Pro-only features may be disabled. Sections that naturally survive termination, including ownership, license restrictions, disclaimers, liability, refunds, and legal rights, continue to apply.
13. Changes to Terms
We may update these Terms to reflect changes in the product, providers, law, or operations. The updated version and date will be posted on this page. Material changes affecting an existing paid product will be notified where required. Continued use after the effective date means acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the People’s Republic of China, excluding conflict-of-laws rules, unless mandatory consumer law gives you the right to rely on the protections of your country of residence. This does not remove any mandatory right to bring a claim in a local court or dispute process.
